1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and Carbon Studio, a digital marketing and demand generation agency located at 9127 East Gary Lane, Mesa, Arizona 85207 ("Carbon Studio," "we," "us," or "our").

By accessing or using our website at carbonstudio.io (the "Site") or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or our services.

2. Eligibility

Our services are designed for business owners and authorized decision-makers. By using the Site and submitting an application, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms on behalf of yourself or your business
  • You are a business owner, operator, or authorized representative of the business you are submitting for evaluation
  • All information you provide through the Site is accurate, current, and complete

3. Description of Services

Carbon Studio provides digital marketing, demand generation, and revenue operations services primarily for med spas and law firms. Our services may include, but are not limited to:

  • Carbon Loop: Multi-channel paid advertising campaigns, proprietary lead-qualifying funnels, in-house booking team services, AI chatbot deployment, lead follow-up workflows, nurture sequences, and seasonal campaigns
  • Carbon Core: Professional website design and development, full SEO management and optimization, and organic lead generation services
  • Business Analysis: Automated and manual analysis of your business website, brand signals, services, and market positioning to tailor marketing strategies

The specific scope, deliverables, and pricing of services will be outlined in a separate service agreement or statement of work executed between you and Carbon Studio upon engagement.

4. Application Process

To engage our services, prospective clients must complete our online application process. This process involves providing business and contact information, undergoing an automated website and brand analysis, and completing qualification questions relevant to your industry.

By submitting an application, you acknowledge and agree that:

  • Submission of an application does not guarantee acceptance into our program or entitle you to our services
  • We reserve the sole right to accept or decline any application at our discretion
  • The information you provide will be used to evaluate your business and determine suitability for our services
  • We may analyze your publicly available website data as part of the application process
  • Providing false, misleading, or incomplete information may result in immediate disqualification or termination of services

5. Pricing and Payment

5.1 Service Fees

Our current service offerings and pricing are displayed on the Site for informational purposes. Actual pricing, payment terms, and billing schedules will be detailed in your individual service agreement. Pricing displayed on the Site is subject to change at any time without notice.

5.2 Ad Spend Requirements

Certain services (such as Carbon Loop) require a minimum monthly advertising spend in addition to service fees. Ad spend is paid directly to advertising platforms (e.g., Google, Meta) and is separate from fees paid to Carbon Studio. Actual ad spend requirements will be outlined in your service agreement.

5.3 Payment Terms

Payment terms, including due dates, accepted payment methods, and late payment penalties, will be specified in your service agreement. Failure to make timely payments may result in suspension or termination of services.

6. 90-Day Money-Back Guarantee

Carbon Studio offers a 90-day money-back guarantee on qualifying service plans. This guarantee is subject to the following conditions:

  • The guarantee applies to service fees paid to Carbon Studio and does not include third-party advertising spend
  • To be eligible for the guarantee, the Client must fulfill all obligations outlined in the service agreement, including but not limited to:
    • Completing onboarding and providing all requested access and credentials
    • Maintaining scheduling availability for strategy calls
    • Providing timely lead status updates
    • Approving offers and creative materials within agreed timeframes
    • Supplying monthly content as outlined in the onboarding process
  • The guarantee is void if the Client fails to meet the above obligations or terminates the agreement before the 90-day period concludes
  • "ROI" for purposes of the guarantee will be defined in the service agreement and is based on measurable business outcomes directly attributable to Carbon Studio's services
  • Refund requests must be submitted in writing within 14 days of the end of the 90-day period

7. Contract Duration and Termination

7.1 Contract Terms

The initial contract term, renewal terms, and notice periods will be specified in your service agreement. After the initial contract period, services may continue on a month-to-month basis unless otherwise agreed.

7.2 Termination by Client

You may terminate services by providing written notice as specified in your service agreement. Early termination during an initial contract period may be subject to early termination fees as outlined in your agreement.

7.3 Termination by Carbon Studio

We reserve the right to suspend or terminate services immediately if:

  • You breach any provision of these Terms or your service agreement
  • You fail to make timely payments
  • You provide false or misleading information during the application or onboarding process
  • Your business engages in unlawful or unethical activities
  • Continuing the engagement would expose Carbon Studio to legal liability or reputational harm

8. Client Responsibilities

As a client of Carbon Studio, you agree to:

  • Provide accurate, complete, and timely information and materials necessary for the execution of services
  • Grant necessary access to accounts, platforms, and tools required for campaign management
  • Respond to leads and appointments in a timely manner (our services are designed to generate appointments, but conversion is a shared responsibility)
  • Comply with all applicable laws, regulations, and industry standards, including advertising regulations specific to your industry (e.g., state bar advertising rules for law firms, HIPAA for medical practices)
  • Review and approve marketing materials, offers, and creative content within agreed timeframes
  • Maintain all necessary business licenses, certifications, and insurance

9. Intellectual Property

9.1 Carbon Studio IP

All intellectual property rights in the Site, our proprietary technology, tools, processes, strategies, funnel designs, AI systems, brand assets, and methodologies remain the exclusive property of Carbon Studio. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

9.2 Client IP

You retain all rights to your existing intellectual property, including your brand, trademarks, logos, and proprietary content. By providing materials to Carbon Studio, you grant us a non-exclusive, royalty-free license to use such materials solely for the purpose of delivering the agreed-upon services.

9.3 Work Product

Ownership of work product created during the engagement (including ad creative, landing pages, website designs, and campaign content) will be specified in your service agreement. Proprietary funnels, systems, and integrations developed by Carbon Studio remain our property.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information shared during the course of the engagement. This includes, but is not limited to:

  • Business strategies, financial data, and pricing
  • Campaign performance data and analytics
  • Client lists and customer information
  • Proprietary tools, processes, and methodologies

Confidentiality obligations survive termination of the relationship for a period of two (2) years.

11. Disclaimers and Limitation of Liability

11.1 No Guarantees of Results

While Carbon Studio employs proven strategies and cutting-edge technology, we do not guarantee specific results, including specific lead volumes, revenue increases, appointment counts, or return on investment (except as explicitly stated in our 90-day money-back guarantee). Marketing performance is influenced by factors beyond our control, including market conditions, competition, client responsiveness, service quality, and consumer behavior.

11.2 Site Provided "As Is"

The Site and all information, content, and materials available through it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.3 Limitation of Liability

To the maximum extent permitted by applicable law, Carbon Studio and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to:

  • Your use of or inability to use the Site or our services
  • Any decisions made or actions taken based on information provided through the Site
  • Unauthorized access to or alteration of your data or transmissions
  • Any third-party conduct or content on or related to the Site

Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Carbon Studio in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Carbon Studio and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content, materials, or information you provide to Carbon Studio that infringes upon or violates the rights of any third party
  • Claims arising from your business operations, including but not limited to malpractice, negligence, or regulatory violations

13. Industry-Specific Compliance

13.1 Law Firm Clients

Marketing services for law firms are subject to state bar rules and ethical obligations regarding attorney advertising. You are solely responsible for ensuring that all marketing materials and campaigns comply with applicable bar rules and regulations. Carbon Studio will work collaboratively with you to seek approval on materials, but final compliance responsibility rests with the Client. Nothing on this Site or in our services constitutes legal advice.

13.2 Med Spa Clients

Marketing services for med spas and medical practices must comply with applicable healthcare advertising regulations, including HIPAA, FTC guidelines, and state medical board rules. You are responsible for ensuring that all claims, testimonials, and before/after imagery used in marketing campaigns comply with applicable regulations. Carbon Studio does not access, store, or process protected health information (PHI).

14. Acceptable Use

You agree not to use the Site or our services to:

  • Violate any applicable local, state, national, or international law or regulation
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Site's infrastructure, security, or functionality
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Use automated means (bots, scrapers, etc.) to access the Site without our express written consent
  • Transmit malware, viruses, or other harmful code
  • Engage in any activity that could harm Carbon Studio's reputation or business interests

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall first be addressed through good faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any executed service agreement, constitute the entire agreement between you and Carbon Studio regarding the subject matter herein
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Carbon Studio may assign these Terms freely
  • Force Majeure: Carbon Studio shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, acts of government, pandemic, internet outages, or third-party platform failures
  • Notices: All notices under these Terms shall be in writing and sent via email to the addresses provided during account setup or engagement

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice through the Site or via email. Your continued use of the Site or our services after any changes constitutes acceptance of the revised Terms.
